  1. This Promotion is open to residents of the United Kingdom and the Republic of Ireland aged 18 or over, excluding employees of the Promoter, agents, distributors or affiliated companies of the Promoter or their immediate family members (defined as parents, children, siblings, spouse and life partners and any other person residing with), and anyone professionally associated with this Promotion.
     
  2. No purchase is necessary. However, internet access, a smartphone with camera, a Pepsi Pass and a valid email address are required.
     
  3. Please note that while we want to encourage you to participate and enjoy the benefits of the Promotion we believe in responsible consumption of our products. Although purchase is not necessary to participate, please DO NOT purchase more product than you would usually or reasonably use or consume during participation of this Promotion.
     
  4. Registration Period: The Registration Period in which participants can register for a Pepsi Pass with their name and email address is between 00:01 on 22nd April and 23:59 on 21st October 2024 inclusive, or until the following number of new passes have been registered, whichever comes first:
    1. UK: 217,000 new Pepsi Pass registrations
    2. Republic of Ireland: 8,000 new Pepsi Pass registrations
       
  5. Promotion Period:
     
    1. Ticket Prizes:
       
      1. UK: Participants with a Pepsi Pass can enter between 00:01 on 22nd April and 23:59 20th May 2024 inclusive for a chance to win a UCL ticket prize (see clause 10.a.i for further details).
         
      2. Republic of Ireland: Participants with a Pepsi Pass can enter between 00:01 on 22nd April and 23:59 25th April 2024 inclusive for a chance to win the UCL ticket prize (see clause 10.a.ii. for further details).
         
    2. Remaining Prizes: Enter between 00:01 on 22nd April 2024 and 23:59 on the 23:59 on the 21st October 2024 inclusive, within which there will be monthly Promotion Periods as per the table below:

  6. To Enter the Promotion: Entrants must:
     
    1. The first 217,000 participants in the UK and the first 8,000 participants in the Republic of Ireland to register for a Pepsi Pass will be eligible to participate.
       
    2. Using a smartphone, participants with a Pepsi Pass can:
       
      1. scan the QR code on a participating can or bottle of Pepsi (see clause 7 for participating cans), or
         
      2. scan the QR code on the media relating to registering for a Pepsi Pass, or
         
      3. click on the media relating to registering for a Pepsi Pass in a social media post or online advert, or
         
      4. visit the following website for their country of residence:
         
        1. The UK: pepsi.smartmediawallet.app/login/pepsi/pepsipassuk
           
        2. Republic of Ireland: pepsi.smartmediawallet.app/login/pepsi/pepsipassie
           
    3. Then log in to their Pepsi Pass account using their name and email address, and accept the T&Cs of the platform and promotion; and
       
    4. Explore the Pepsi Pass Portal and participate in different activities to collect Pepsi tokens.
       
    5. Each activity will advise how many Pepsi Pass Tokens (“token”) will be awarded on completion at the time of participation.
       
    6. Once an entrant earns a token, they can then visit the Reward Zone to exchange it for a mystery box (“entry”).
       
  7. Participating Cans:
     
    1. UK: All Pepsi 330ml cans, 500ml bottles, 1.25ml bottles and 2L bottles.
       
    2. Republic of Ireland: All Pepsi 330ml cans, 440ml cans, 500ml bottles, 1.25ml bottles and 2L bottles.
       
  8. Further Entry Conditions:
     
    1. Smart phones using operating systems below iOS 17 or Android 9, and iPhone models older than an iPhone Xr or Xs may operate at a sub-standard rate which may impact on an entrant’s engagement with the Pepsi Pass Portal.
       
    2. The Pepsi Pass Portal can only be launched using mobile Safari version 17 or newer, Samsung Internet version 23 or newer, or Google Chrome version 119 or newer. All applications must be enabled with JavaScript to launch the game.
       
  9. Entrants can purchase as many Mystery Boxes as their token collection permits per monthly Promotion Period and a maximum of one prize type is permitted per person per monthly Promotion Period, except for digital asset Prizes which can be won limitless times per person.

  11. Further Prize Conditions:
     
    1. Due to the nature of the Pepsi digital asset for social media Prizes (“digital asset Prizes”) being allocated to all entrants who do not receive another Prize stated in clause 10 above, the exact number of digital asset Prizes cannot be determined.
       
    2. UCL Ticket Prizes:
       
      1. The UCL Final is being held at Wembley Stadium on 1st June 2024 at 20:00.
         
      2. Winners will be required to download the UEFA ticketing app on their mobile device. Tickets will be sent to the App on each individuals mobile device prior to the game.
         
      3. Winners will be required to provide the name and details of their guest during the Winner Notification process.
         
      4. Guests must be at least 18 years of age on 1 June 2024.
         
      5. Entry to Wembley stadium is subject to the Ground Regulations which are available at: https://www.wembleystadium.com/plan-your-visit/stadium-guide/rules-and-regulations and UEFA terms and conditions which are available at: https://www.uefa.com/termsconditions/.
         
      6. The use of a ticket to enter Wembley stadium constitutes acceptance of Wembley Stadium’s and the UCL’s terms and conditions. The ticket shall remain at all times the property of the UCL and cannot be transferred or exchanged.
         
      7. Winners are subject to screening by Wembley stadium and the UCL based on their conditions of entry and the Promoter is not liable if the winner or any person accompanying them is refused entry because they do not meet these conditions.
         
      8. If the Promoter decides in its sole discretion, the winners and/or any guest may be required to submit to a confidential background check or to provide suitable information to answer questions to confirm eligibility and help ensure that the use of any such person in advertising or publicity for the Promotion will not bring the Promoter into public disrepute, contempt, scandal or ridicule or reflect unfavourably on the promotion as determined by the Promoter in its sole discretion. This will include all relevant banning orders or related incidents regarding the winner and/or any guest at any venue as required by the government, the police or relevant law enforcement agencies or organisations. Part of this process may also include questions during the Winner Notification process and a review of personal information sourced from data available in the public domain.
         
      9. The Promoter reserves the right to disqualify any winner (or ask the winner to replace their guest) on the basis of the findings resulting from a background or information check and award the tickets to an alternative winner.
         
      10. Once tickets are issued for a winner and their guest, they cannot be altered or changed except at the Promoter’s sole discretion.
         
      11. Except mobile phones used for personal use only, winners and their guests may not bring into (or use within) Wembley stadium any equipment that is capable of recording or transmitting any audio, visual or audio-visual material or any information or data in relation to the Final or any aspect of it.
         
      12. If for any reason the UCL Final is not capable of running as planned, such as cancellation or any other cause beyond the control of the Promoter which affects the running or conduct of this Promotion or the awarding of any Prize, the Promoter will not be liable for any expenses incurred by winners and will not re-award any additional tickets or alternative Prizes to the winners. The Promoter will not reimburse any incurred expenses by a winner as a result of winning or accepting the Prize.
         
      13. Winners are responsible for the behaviour of themselves and their guests in connection with the use of any prize. The Promoter reserves the right in its absolute discretion to exclude a winner and/or their guests from participation in any aspect of the prize if any party fails to comply with the directions of the Promoter or any companies associated with the prize or if a winner and/or their guests act in a manner that is dangerous to themselves or to the public or is, in the opinion of the Promoter, anti-social in any manner or which causes a disturbance or nuisance to others. Failure to comply with these Terms & Conditions may result in refused entry, or the ticket holders being required to leave the event/venue.
         
      14. Winners must inform the Promoter of any wheelchair or any similar access needs.
         
      15. Pictures and images used in connection with the Promotion are for illustrative purposes only and might not reflect a true likeness of the prizes. The Promotion does not constitute an endorsement or recommendation of the products or services being offered as prizes.
         
      16. For the avoidance of doubt, the prize does not include food, beverages, souvenirs, gratuities, car parking charges, excess baggage, additional excursions and attractions or any other costs of a personal nature (including spending money) that are not explicitly set out in these Terms & Conditions and neither the Promoter nor any provider of any part of the prize will be responsible for any such costs.
         
      17. For the winner of the UCL tickets who is a resident of the Republic of Ireland:
         
        1. The Prize includes standard airline flights departing their local international airport on the 31st May 2024 and arriving at Heathrow airport, and returning on 2nd June 2024.
           
        2. The winner and their guest will require a passport valid for at least 6 months on date of travel; any necessary visas or travel insurance are the responsibility of the winner and their guest. In the event the winner or their guest are unable to travel due to visa or other personal circumstances, no alternative tickets will be issued, and no compensation or other prize will be provided. The Prize will be forfeited if:
           
          1. the winner has not obtained all of the proper travel documents by the date specified by the Promoter;
             
          2. the winner has any immigration complications which prevent them from entering, leaving or travelling within the UK; or
             
          3. the winner has any medical, legal or any other reason that would prevent them from accepting and participating in the prize.
             
        3. Once tickets have been issued, they are only valid for flights, dates and times shown. No alternatives are available. Name changes to the flight once confirmed are not permitted.
           
        4. Travel must be taken at the stated times; no alternatives are available. Name changes to the flight seats once confirmed are not permitted;
           
        5. Airline seats are subject to availability.
           
        6. The winner and their guests must abide by and are subject to the Airline’s published Conditions of Carriage.
           
        7. Frequent Flyer points cannot be accrued on the flight tickets. An upgrade cannot be purchased on these tickets with cash or Frequent Flyer points.
           
        8. Lounge passes and upgrades are not permitted;
           
        9. Flights cannot be used in conjunction with any loyalty programme, any other discount, discount coupon(s) or voucher(s), promotion(s) or special offer;
           
        10. Flight extras are not included in the prize (flight extras include, but are not limited to, on-board meals and drinks);
           
    3. Ticket Prizes that include accommodation:
       
      1. The Prize includes 1 x standard twin bedroom at a minimum 4* hotel for 2 nights for the winner and a guest (31/05/24 & 01/06/24), subject to availability and at the Promoters’ discretion; and
         
      2. Return transport from the hotel to Wembley Stadium is included.
         
      3. The Promoter will pay the cost of the standard room plus related room taxes.
         
      4. A valid credit or debit card will be required to check in to a room and will be used to guarantee any incidentals such as in- room calls or services.
         
      5. The winner is solely responsible for any additional charges incurred at the hotel during their stay not provided as part of the prize, including, without limitation, costs of meals, drinks, additional nights and services together with related taxes.
         
    4. Clothing Prizes:
       
      1. All clothing Prizes are available in varying quantities of the following sizes: S, M, L, XL.
         
      2. Winners will be asked to provide their choice of clothing size from the options available at the point of Winner Notification, and the Promoter will endeavour to fulfil the Prize according to a winner’s request. However, no Prize size or request can be guaranteed, and winners may receive a size of Prize that differs to their size requested.
         
    5. Pepsi Max 500ml or 750ml bottle coupons to redeem in Tesco (“coupon Prizes”):
       
      1. Coupons are only redeemable against the relevant Prizes stated in clause 10.
         
      2. Coupons are only available for redemption in Tesco stores in the UK and Republic of Ireland.
         
      3. Once vouchers have been claimed, it must be redeemed within 30 minutes from the point of claiming.
         
      4. Only one coupon may be used per product purchased.
         
      5. Coupons cannot be used in conjunction with any other coupon or offer.
         
      6. Coupons may not be altered, reproduced, sold, transferred, or auctioned.
         
      7. Any queries arising with the use of this coupon should be taken up with instore customer services.
         
      8. Retailers may not allow coupons to be redeemed at Self Checkouts without manual intervention from the cashier.
         
      9. Coupons may be subject to further terms & conditions which will be provided on the digital voucher at the point of redemption.
         
      10. Should winners have any issues with redeeming their coupon or if the product price differs from what it states on the voucher, they must visit https://www.pepsi.co.uk/contact-us and complete the Contact Us form by 4th November 2024.
         
  12. Winner Selection
     
    1. Promotion Period: An independent algorithm will determine at random the relevant number of non-digital assent Prizes per monthly Promotion Period (as stated in clause 10). Entrants will find out immediately upon opening their Mystery Box if they have been allocated a non-digital asset Prize. All other entrants will receive a digital asset Prize. Prizes are awarded at random, and due to the nature of the algorithm, not all Prizes are guaranteed to be won during the Promotion Period, but all physical prizes (as stated in clause 10) will be entered into a Wrap Up Draw as per clause 12.c below.
       
    2. Month 1 Wrap Up Draw: By the end of the monthly Promotion Period, in the event of any UCL ticket Prizes that are unwon, rejected, undelivered, unclaimed or returned to sender, or if a winner is disqualified for any breach of these Terms and Conditions, the Promoter reserves the right to request that an independent party conducts a random draw for each Prize from all winners who have won a Pepsi and UCL football shirt Prize by the time the random draw takes place.

      Random draws will take place by the following dates:

      2. Republic of Ireland: 29th April 2024
         
      As this Wrap Up Draw depends wholly on what Prizes are claimed during the monthly Promotion Period, the number of Prizes that may be awarded by this route is unknown. Any winners via this route will be notified via email within 1 working day from the end the relevant random draw.
       
    3. Wrap Up Draw: Following the end of the Promotion Period, in the event of any physical Prizes (I.e. excluding digital asset Prizes and coupon Prizes) (as outlined in clause 10 above) that are unwon, rejected, undelivered, unclaimed or returned to sender throughout each monthly Promotion Period, or if a winner is disqualified for any breach of these Terms and Conditions, the Promoter reserves the right to request that an independent party conducts a random draw from all valid entries, within 5 working days of the end of the Promotion Period. As this depends wholly on what is won during each monthly Promotion Period, the number of Prizes that may be awarded by this route is unknown. Any winners via this route will be notified via email within 28 working days from the end the Promotion Period.
       
  13. Winner Notification:
     
    1. Promotion Period: Winning entrants (“Provisional Winners”) will be notified immediately on screen that they have won and confirmation of their Prize will be stored in their Pepsi Pass wallet until 3 November 2024, except for ticket prizes which will be stored for a period of 48 hours ONLY. Provisional Winners may also be contacted via email to the email address registered to their Pepsi account within 28 days of Winner Notification and be asked to provide evidence of identity and eligibility. If a Provisional Winner does not claim their prize within their wallet by 3 November 2024 (or within 48 hours if it is a ticket prize), or respond to the initial contact within 14 days of receipt if they are contacted via email, or is disqualified for any breach of these terms and conditions, all physical Prizes will be entered into the Wrap Up Draw. Provisional winners of ticket prizes will be given 48 hours to respond, claim and accept their Prize.
       
    2. Month 1 Wrap Up Draw: Any Provisional Winner(s) will be notified via email to the email address registered to their Pepsi account within 2 working days of winning their Prize and may be asked to provide evidence of identity and eligibility. The Provisional Winner(s) will be given 48 hours to respond and accept their Prize. If a Provisional Winner does not respond to the initial contact within 48 hours of receipt or is disqualified for any breach of these Terms and Conditions, the Promoter reserves the right to award the prize to a reserve Winner. Reserve Winners may be given less time to respond, and any response time frames will be clearly stated within the Winner Notification email.
       
    3. Wrap Up Draw: Any Provisional Winner(s) will be notified via email to the email address registered to their Pepsi account within 28 days of the close of the Promotion Period and may be asked to provide evidence of identity and eligibility. If the Provisional Winner does not respond to the initial contact within 14 days of receipt or is disqualified for any breach of these Terms and Conditions, the Promoter reserves the right to award the prize to a reserve Winner. Reserve Winners will have the same period of time to respond.
       
  14. Physical Prize Acceptance & Delivery: Once a Provisional Winner provides evidence of their identity and eligibility, if requested, ticket winners should look out for an email confirming they are a Winner along with further Prize Details. Winners of other physical prizes should please allow up to 90 days for fulfilment of Prizes to the postal address provided when registering for a Pepsi Pass.
     
  15. Digital Asset Prize and Coupon Prize Acceptance & Delivery:  Prizes will be instantly awarded to winners at the point of Winner Notification and will be available for download from a winner’s Pepsi Pass wallet.
     
  16. In the unlikely event that a Prize doesn’t arrive within 90 days of Winner Notification (excluding ticket prizes), winners will have a further 28 days to inform the Promoter by emailing pepsipass@promowinners.com. If a winner does not do so, the Promoter reserves the right to not reissue the Prize or limit its value at its sole discretion.
     
  17. It is the responsibility of the Winners to supply the correct personal information in their Pepsi account in order to claim their Prize. The Promoter will not be liable for the non-delivery of the Prize caused by the provision of wrong information. A Winner’s email address or postal address cannot be updated after entry.
     
  18. Winners will not incur any costs to claim a prize or equivalent benefit or incur any costs to receive their Prize.
     
  19. The Promoter may request that the Winners participate in reasonable publicity arising from the Promotion including use of the Winner’s name, voice, city/county of residence, photos, video or film clips, and/or other visual likeness for advertising and/or trade purposes and/or for any other purpose in any media or format now or hereafter known without further compensation (financial or otherwise. Participation is at the winner’s discretion and is not a condition of Prize Acceptance.
     
  20. The Promoter seeks to run fair and secure promotions and prevent abuse and cheating. If entrants enter in a way that is not consistent with these Terms & Conditions, their entries (and any of their associated aliases) will be disqualified, any Prize awarded may be void and recoverable, and the Promoter reserves the right to bar said entrants from entering future promotions for a period of at least six months. For this reason, the Promoter reserves the right at any point to:
     
    1. Verify the eligibility of entrants and/or Provisional Winners by requesting such information we consider reasonably necessary for this purpose. Entry or a Prize may be withheld unless and until verification is completed satisfactorily.
       
    2. Disqualify entries that are not made directly by the individual entering the Promotion.
       
    3. Disqualify entries made using anonymous email services such as, but not limited to, GuerillaMail, Dispostable or Mailinator.
       
    4. ​​​​​​​Disqualify bulk entries from individuals, trade, consumer groups or third parties, incomplete entries and entries submitted by macros or other automated means.
       
    5. ​​​​​​​Disqualify entries beyond the maximum allowed, or those using techniques such as ‘script’, ‘brute force’, masking identity by manipulating IP addresses, using aliases or identities other than their own or any other means.
       
    6. ​​​​​​​Disqualify entries which, in some other way, do not fully meet the requirements of these Terms & Conditions.
       
  21. Entrants must complete their details using their legal name. The Promoter reserves the right to disqualify any entrant who uses multiple names or email addresses and to require them to return any Prize they may have won.
     
  22. Provided no objection from a Winner is received, the surname and county of residence of physical prize Winners will be made available by the Promoter 4 weeks after the close of the Promotion Period, for a period of 8 weeks by emailing pepsipass@promowinners.com. Winners can object to their surname, county or country of residence being published or request for the amount of information being published to be reduced via the same method of contact. However, please note that without prejudice, even if a Winner objects to the publishing of their surname and region, the Promoter will provide winner information to the Advertising Standards Authority or the Advertising Standards Authority Ireland (depending on the country of residence of the Winner) on reasonable request or any other regulatory bodies to comply with all relevant rules and legislation currently in force.
     
  23. The Prizes are not transferable or exchangeable and cannot be redeemed for monetary value or for any other form of compensation. If for any reason any Prize is not available, the Promoter reserves the right, at its sole discretion to substitute another Prize for it, of equal or greater value.
     
  24. If the Promotion is not capable of running as planned for reasons including but not limited to tampering, unauthorised intervention, fraud, dishonesty, technical failures,  or any other causes beyond the control of the Promoter which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, the Promoter reserves the right to disqualify any individual who tampers with the entry process or does not comply with these Terms & Conditions, or invalidate any affected entries and/or to cancel, modify or suspend the Promotion.
     
  25. No responsibility can be taken for entries which are lost, delayed, corrupted, damaged, misdirected or incomplete or which cannot be delivered for any technical, delivery or other reason. Proof of sending will not be accepted as proof of receipt. The Promoter does not guarantee continuous or secure access to the promotional website.
     
  26. The Promoter, the prize fulfilment agency and any other associated agencies and companies are not liable for any loss (including, without limitation, indirect, special or consequential loss or loss of profits), expense or damage which is suffered or sustained (whether or not arising from any person’s negligence) in connection with this Promotion or accepting or using a Prize, except for any liability which cannot be excluded by law. Nothing will exclude the Promotor’s liability for death or personal injury as a result of its negligence.
     
  27. The Promoter will not be liable for any delay or failure to comply with its obligations for reasons beyond its reasonable control arising from but not limited to Acts of God, global or regional epidemic or pandemic, adverse weather conditions, fire, industrial dispute, war, terrorist activity, hostilities, political unrest, riots, civil commotion, plague or other natural calamities, or any other circumstances of the Promoter.
     
  28. Any and all personal data provided by you in connection with this Promotion will be used solely by the Promoter (or its appointed agents) to: (i) assist with running the Promotion; and/or (ii) conduct analytics to improve the Promoter’s promotions, products, or services. The Promoter (or its appointed agents) will not contact you for reasons other than this Promotion unless you have provided your express consent.   29. In the Republic of Ireland this promotion is being carried out under a lottery license granted by the Dublin Metropolitan District Court on 29th November 2023. The lottery license is held by Pieta House of First Floor Greenhills Retail Park, Greenhills Road, Tallaght Dublin 24, Dublin (Charity No: CHY16913)
     
  30. If any part of these Terms & Conditions are legally ruled to be invalid, illegal or unenforceable, the remainder will not be affected and will continue in full force and effect.
     
  31. By entering, you will be deemed to have agreed to be bound by these Terms & Conditions.
     
  32. If there is a discrepancy between these Terms & Conditions and those in any promotional material, these Terms & Conditions will prevail.
     
  33. These Terms and Conditions shall be governed by English and Welsh law and their interpretation and application will be subject to the exclusive jurisdiction of the courts of England and Wales.
